Ethical Business Practices

Policy
Based on the principles of fairness, honesty, integrity, and transparency in conducting business activities, East-Tender  Optoelectronics Co., Ltd. complies with the Ethical Corporate Management Best Practice Principles for TWSE/GTSM Listed Companies and is committed to establishing a culture of ethical corporate management and sustainable development, thereby maintaining sound business practices.
In 2016, the Board of Directors approved the Ethical Corporate Management Principles and the Ethical Corporate Management Operating Procedures and Code of Conduct. These policies require that all personnel of the Company—defined as the directors, supervisors, managers, employees, appointees, and any individuals with substantive control over the Company and its group entities—shall not, in the course of conducting business activities, directly or indirectly provide, promise, request, or accept any improper benefits in any form or under any pretext, nor engage in any dishonest, illegal, or other conduct in breach of fiduciary duties.

To prevent improper disclosure of information, the Company has established the Regulations Governing the Handling of Material Inside Information and the Prevention of Insider Trading to manage and prevent insider trading. The Company conducts irregular awareness campaigns each year to remind insiders of the risks of inadvertently violating insider trading regulations, and distributes promotional handbooks issued by the competent authority to insiders for reference.
Directors, supervisors, managers, and employees who have access to the Company’s material inside information are prohibited from disclosing such information to any third party. They are required to conduct their duties in accordance with the principles of honesty and good faith and are obligated to execute confidentiality agreements.

Management Policy
The Company strictly requires all employees, in the course of conducting business activities, not to directly or indirectly offer, promise, request, or accept any improper benefits in any form or under any name, nor engage in any dishonest, illegal, or breach-of-fiduciary-duty conduct for the purpose of obtaining or maintaining benefits.
The responsible units shall continuously monitor developments in domestic and international regulations related to ethical business practices and encourage employees to provide suggestions, which shall serve as a basis for reviewing and improving the Company’s ethical management policies and implementation measures, thereby enhancing the effectiveness of ethical business practices.

The Company has established employee grievance and complaint channels in the workplace, and the relevant information is publicly disclosed in prominent locations within the workplace.
Employee grievance handling: 0 cases. Following a cross-departmental meeting, the results were: 0 grievances were deemed unfounded, and 0 grievances were upheld and handled according to company regulations.
